Front Range 4x4 - Legal
Front Range 4x4 is an off-road enthusiast club serving the Front Range of Colorado made up of men and women with a shared interest in responsible off-road use, the challenge of trails, love of the great Colorado outdoors and camraderie of other like-minded individuals.

Front Range 4x4 LLC Bylaws

Article 1 - Name of Club
This organization shall be known as Front Range 4x4 LLC; hereafter in this document referred to as 'Front Range 4x4'

Article 2 - Purpose of Club
Front Range 4x4 is organized as a Limited Liability Company for the purpose of:
A. Providing recreational, social, and educational activities for it's members.
B. Participating in and supporting civic activities, to enjoy and protect all local, state and federal resources and to assist various government agencies with the development of off-road trails and areas.
C. Adhering to the principles of the Tread Lightly Program, the Colorado Four Wheel Drive Association, and the United Four Wheel Drive Association.

Article 3 - Membership and Dues
A. To be a member of Front Range 4x4 you must own a vehicle that is considered a 4x4 recreational vehicle.
B. Each membership includes the immediate family.
C. All members must conduct themselves in a respectable and orderly fashion during all Front Range 4x4 activities.
D. There are no dues for this organization.
E. Applicants must participate in the Front Range 4x4 on-line forum to gain and maintain membership.
F. A member or driver of a Front Range 4x4 member's vehicle during club events must have a valid driver's license.
G. A member must comply with all safety regulations as set forth in these bylaws.
H. Any member of Front Range 4x4 who intentionally damages or destroys public or private property, or willfully violates the Front Range 4x4 bylaws, local, state, or federal law(s) while participating in any Front Range 4x4 activity which may be directly or indirectly associated with or credited to Front Range 4x4 will be expelled. If the President deems it necessary, he/she may expel a member on the spot with justifiable cause.
I. The president of Front Range 4x4 is the rightful owner of all trademarks and retains the right to expel members at any time.

Article 4 - Meetings
A. There are no required meetings as permitted under Colorado state laws regarding LLC operation.
B. Registration and participation of the online forum replaces formal in-person meetings.

Article 5 - Vehicle Approval and Safety
A. All vehicles used at Front Range 4x4 events must have adequate equipment for legal operation.
B. Seat belts are required for all occupants.
C. No firearms, as governed by federal, state, and local laws, are allowed on trail rides or other events.
D. It is the intent of Front Range 4x4 to promote safe and fun four wheeling.
E. All vehicles are encouraged to be equipped with the following: fire extinguisher, seat belts for all passengers, full size spare, jack and tow strap as a minimum.
F. Vehicle must have a substantially mounted tow point on the front (optional, but recommended) and rear.

Article 6 - Alcohol / Illegal Substances
A. Alcohol or illegal substances are not allowed while driving as per Colorado law. If these violations occur during a Front Range 4x4 trail ride, the member(s) will be instructed to leave.
B. Alcohol is permitted at camp outs or other non-motorized Front Range 4x4 activities. Front Range 4x4 will abide by all local and state ordinances and laws regarding alcoholic beverages. Underage drinking will not be permitted at any time.
C. Other illegal substances will not be tolerated at any Front Range 4x4 event. Any member using such substance(s) at a Front Range 4x4 event will be asked to leave and a member at a non-club event using such substance(s) will be asked to leave the area where the club is gathered and will possibly be expelled from Front Range 4x4.

Article 7 - Administration and Officers
A. The officer of Front Range 4x4 LLC shall consist of President as permitted by Colorado state law.
B. The President will be responsible for additional appointments positions as needed.
C. The Board of Directors shall consist of the President only at this time.
D. The President will:
  1. Appoint all committee chairpersons as needed/if needed.
  2. Sign checks for payment of Front Range 4x4 expenses.
  3. Appoint a replacement officer in the event of vacancy or other need.
  4. Appoint temporary offices/chairpersons as needed.
E. The fiscal year for Front Range 4x4 LLC shall be from January 1 to December 31, inclusive. All budgeting, membership dues, and financial accounting shall be rendered on this basis.
F. Any property; real, personal or interest therein; or equipment purchased by Front Range 4x4 shall shall be known as Front Range 4x4 property.
G. In the event of the Front Range 4x4 disbanding, all Front Range 4x4 property shall be sold. The sale will be coordinated by the President. All monies present at time of disbanding and after sale of Front Range 4x4 property will be donated to a charity chosen by the President.

Article 8 - Duties and Powers of Officers
A. The President shall preside over all members and shall be present at all scheduled events when possible. The President will maintain order at all Front Range 4x4 events and meetings and take appropriate action when Front Range 4x4 bylaws are violated.
B. The President shall have the duty to carryout the policies and decisions of the members and Front Range 4x4.
C. The President shall keep and preserve all records. The President shall:
  1. Bill any outstanding debts due to the Front Range 4x4.
  2. Maintain correct information of all members.
  3. Keep accurate and complete records of the funds and accounts of Front Range 4x4.
  4. Shall maintain records thereof and make only such disbursements from the funds and accounts of the organization as are legitimate Front Range 4x4 expenditures.
  5. Keep written financial records in detail, listing each item of income and expense.
  6. Pay all Front Range 4x4 transactions via check.
  7. No moneys will be paid without receipt.
  8. Will be responsible for financial reports of Front Range 4x4.

Article 9 - Expenditures and Finance
A. All monies received from all sources shall immediately be turned over to the President.
B. Any receipt for payment of funds shall be presented to the President within thirty days of the date on the receipt. All others will be not paid, unless the President authorized payment.

Article 10 - Election of Officers
A. As permitted by Colorado state law the President is the sole officer of Front Range 4x4.
B. The position of President is indefinite. Elections to be held at time of resignation.
C. In the event of a vacancy of an office, there will be a special election to fill that position.

Article 11 - Event Rules
A. Adhere to the Tread Lightly program.
  1. Trash - Pack it in - Pack it out.
  2. Front Range 4x4 members are responsible for their families and guest.
  3. Wear seat belts.
  4. Help inexperienced drivers on the trail.
  5. Choose your trail line wisely, make good judgment calls while trail riding, don't be afraid to ask for help from fellow members.
  6. While trail riding, make sure the vehicle directly in front and directly in back is visible at all times.

Article 12 - Liability
While trail riding, if you venture on an area not marked, or a closed area, and an officer of the law issues you a ticket, arrests you, or confiscates your vehicle, liability is bore solely by the vehicle owner and/or the person performing the illegal action. Neither Front Range 4x4 (nor its President or members) is responsible for the loss, theft, or damage to any vehicle. Personal property in vehicles is solely the owner's responsibility. Each person is participating in Front Range 4x4 activities voluntarily and are responsible for their own actions.

Article 13 - Indemnification
Front Range 4x4, to the extent legally permissible, shall indemnify each of it's officers and may indemnify all agents, employees and members of Front Range 4x4 LLC against all liabilities and expenses, including amounts paid in satisfaction of judgment, in compromise, or as fines, penalties, and counsel fees in connection with the defense or disposition of any action, suit, or other proceedings, whether civil or criminal in which he may be involved in with which he may be threatened, while in office, except with the respect to any matter as to which he shall be adjudicated of any proceeding not to have acted in good faith, if the reasonable belief that his action was in the best interest of Front Range 4x4, however, that as to any matter disposed of by a compromise payment by such officer, employee, or agent, pursuant to a consent decree or otherwise, no indemnification for such payment or for any other expenses shall be provided unless such compromise shall be approved as in the best interest of Front Range 4x4 by a two-thirds (2/3) vote of the disinterested members of the Board. The right of indemnification hereby provided shall not be exclusive of or affect any other rights to which an officer may be entitled. As used in this paragraph the terms "officer", "agent" or "employee", include their respective heirs, executors, and administrators.

The aforementioned bylaws were initially adopted on January 29, 2008.
